Welcome to Dynamo Rides LLC (“we,” “us,” or “our”). These Terms of Service ("Terms") govern your access to and use of our website, dynamorides.com (the “Site”), and the services provided on the Site (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, please refrain from using the Site.

Please read these Terms carefully, as they contain important information regarding your rights, obligations, and the limitations and exclusions that apply.

1. General Terms

1.1. Account Creation

To access certain features of the Services, including placing orders, you must create a dealer account. You may also create sub-accounts for your staff under your dealer account. As the primary account holder, you are fully responsible for all orders and activities conducted through your account and any sub-accounts you create. You are also responsible for maintaining the confidentiality of your account credentials and ensuring that all activities comply with these Terms.

1.2. Dealer Use Only

The Site and Services are intended for use by authorized dealers of Dynamo Rides LLC. Unauthorized individuals are not permitted to use the Site to purchase or place orders. We reserve the right to terminate accounts that violate this provision.

2. Sales and Shipping Terms

2.1. Distributor Role

Dynamo Rides LLC acts as a distributor of the products listed on the Site. We do not manufacture these products. The products you purchase through our Site may be shipped either by Dynamo Rides LLC or directly from third-party suppliers, including manufacturers. We do not guarantee that all products will be shipped from our own facilities, and shipping times may vary based on supplier availability and location.

2.2. Final Sale

All sales are final. Products cannot be returned or exchanged once purchased unless there is an error in shipment or a defective product has been delivered. In such cases, please contact us at Support@dynamorides.com within 7 days of receipt, and we will review the issue at our discretion.

2.3. Pricing and Payment

All prices are subject to change without prior notice. The price for an order will be as specified at the time of purchase. Payment terms are as described on the Site during the checkout process. Full payment must be received prior to order fulfillment unless specific credit terms have been agreed upon.

2.4. Risk of Loss

Once the products are handed over to the shipping carrier, Dynamo Rides LLC transfers all risk of loss or damage to the carrier and customer. You assume all risk of loss upon transfer of the goods to the carrier, and we are not responsible for delays, losses, or damages during transit.

3. Shipping and Delivery

3.1. Shipping Costs

The customer is responsible for the cost of shipping, which will be calculated and presented during the checkout process. Additional shipping charges may apply for special delivery requests, oversized items, or international shipments (where available).

3.2. Shipping

Shipping times are estimates and may vary depending on product availability, supplier location, and other factors beyond our control. Delivery may be handled by third-party suppliers and not by Dynamo Rides LLC. We will provide you with shipment details as soon as available, but we do not guarantee specific delivery dates.

3.3. International Shipping

At this time, Dynamo Rides LLC only ships to authorized dealer locations within the United States. International shipping may be available on a case-by-case basis, and additional fees and restrictions may apply.

3.4. Inspection and Acceptance

You are responsible for inspecting all products upon delivery. Any claims for shortages, defects, or non-conforming products must be made in writing to Support@dynamorides.com within 7 days of receipt. Failure to notify us within this time frame constitutes acceptance of the products.

4. Warranties and Disclaimers

4.1. Manufacturer Warranties

Dynamo Rides LLC does not offer warranties on the products we distribute. Any warranties are provided solely by the manufacturer. Customers should direct all warranty inquiries or claims directly to the product manufacturer in accordance with their warranty policies.

4.2. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DYNAMO RIDES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS PURCHASED THROUGH THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS IN QUESTION.

6. Intellectual Property

All content on the Site, including text, images, logos, and software, is the property of Dynamo Rides LLC or our licensors and is protected by applicable intellectual property laws. You are not granted any rights to use any of our trademarks, logos, or copyrighted materials without our express written permission.

7. User Responsibilities and Conduct

By using the Site, you agree:

Not to engage in any activity that disrupts or interferes with the proper functioning of the Site.
Not to use the Site for illegal purposes or to violate any applicable laws.
To provide accurate and up-to-date information when creating an account or placing an order.

You are responsible for all activities that occur under your account, including actions taken by staff accounts created under your dealer account.

8. Indemnification

You agree to indemnify and hold harmless Dynamo Rides LLC, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising out of or in any way connected to your use of the Site, any violation of these Terms, or any wrongful conduct by you or any user of your account.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, and any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of San Diego County, California. Any claims or actions related to these Terms must be brought within one year from the date the claim arises.

10. Changes to the Terms of Service

We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.
